1. Parties and Acceptance
This agreement is entered into between Mauro De Gennaro (hereinafter "Licensor"), Via Alberi 20b, 80069 Vico Equense (NA), Italy, and the individual or entity purchasing or using the software AI Merch Workflow (hereinafter "Licensee").
Downloading, installing or using the software constitutes full acceptance of these Terms and Conditions. If you do not accept these terms, you are not permitted to use the software.
2. Description of the Software
AI Merch Workflow is a Windows desktop application that automates the creation of listings on Amazon Merch on Demand using artificial intelligence. The software runs locally on the user's device and requires a valid licence to access the automated upload features.
3. Licence Grant
In consideration of payment of the agreed fee, the Licensor grants the Licensee a licence that is:
- Personal — for the exclusive use of the Licensee
- Non-exclusive — the Licensor may grant the same licence to other users
- Non-transferable — may not be assigned, sublicensed or resold to third parties
- Limited to 1 device — unless a different plan was purchased
4. Restrictions
The Licensee may not:
- Copy, modify, adapt, translate or create derivative works from the software
- Decompile, disassemble or attempt to derive the source code (except to the extent permitted by applicable law)
- Remove or alter any copyright notices, trademarks or other proprietary markings
- Share, resell, rent or transfer the licence or access credentials to any third party
- Use the software in violation of Amazon's or any other third-party platform's Terms of Service
- Use the software for unlawful purposes or in a manner that infringes third-party rights
5. Subscription, Payment and Renewal
The software is available via subscription. Payments are handled by LemonSqueezy, an independent payment processor subject to its own terms of use. The Licensor does not collect or store payment data (credit cards, bank details, etc.).
Subscriptions renew automatically at the end of each billing period unless cancelled by the Licensee through the LemonSqueezy subscription management portal.
6. Refund Policy — Exclusion of Right of Withdrawal
Pursuant to Art. 59(1)(o) of Italian Legislative Decree 206/2005 (Consumer Code), the right of withdrawal is excluded for the supply of digital content on a non-tangible medium where performance has begun with the consumer's prior express consent and acknowledgement that they thereby lose their right of withdrawal.
At the time of purchase, the Licensee explicitly consents to the immediate performance of the contract and acknowledges the loss of the right of withdrawal.
No refunds are issued for periods already elapsed, except in cases of product defects attributable solely to the Licensor.
7. Updates and Service Availability
The Licensor may release software updates at its sole discretion. Updates may modify existing features or add new ones. The Licensor reserves the right to discontinue support for outdated versions.
The availability of the licence authentication service is not guaranteed at 100%. The Licensor will make reasonable efforts to maintain availability but accepts no liability for temporary interruptions due to maintenance or force majeure.
8. Intellectual Property
The software, including its source code, design, text, logos and all related content, is the exclusive property of the Licensor and is protected by copyright law and intellectual property rights. This licence does not transfer any ownership rights.
9. Limitation of Liability
The software is provided "as is". To the maximum extent permitted by applicable law, the Licensor:
- Does not warrant that the software will be error-free or operate without interruption
- Is not liable for any indirect, incidental, special or consequential damages
- Is not responsible for account suspensions or penalties imposed by Amazon or any other third-party platform as a result of using the software
- Is not responsible for loss of user data
The Licensor's total liability to the Licensee, for any cause whatsoever, shall not exceed the amounts paid by the Licensee in the 3 months preceding the event giving rise to liability.
10. Suspension and Termination
The Licensor may suspend or revoke the licence in the event of:
- Breach of these Terms and Conditions
- Non-payment of the subscription fee
- Fraudulent or abusive use of the software
Upon termination, the Licensee must immediately cease using the software and delete all installed copies.
11. Privacy
The processing of the Licensee's personal data is governed by the Privacy Policy, which forms an integral part of these Terms and Conditions.
12. Governing Law and Jurisdiction
These Terms and Conditions are governed by Italian law. Any dispute arising from the interpretation or performance of this agreement shall be subject to the exclusive jurisdiction of the Court of Naples, unless otherwise required by mandatory law (including consumer protection legislation).

13. Changes to These Terms
The Licensor reserves the right to amend these Terms and Conditions at any time. Changes will be published on this page and will take effect upon publication. Continued use of the software after changes are published constitutes acceptance of the updated terms.
